1. Introduction : Welcome to Stellar Foundation Inc. (“StellarEdX”, “we”, “us”). These Terms of Service (“Terms”) govern your access to and use of stellaredx.org and lms.stellaredx.org (the “Platform”). By using the Platform you agree to these Terms. If you do not agree, do not use the Platform.

2. Platform role; independent providers StellarEdX operates a technology platform that connects learners with independent mentors, instructors, and service providers. We do not provide mentoring or professional services ourselves and are not responsible for the acts or omissions of third-party providers. All mentors are independent contractors unless otherwise expressly stated.

3. Accounts, eligibility, and age restrictions : Account creation requires acceptance of these Terms and our Privacy Policy. The Platform is intended for persons 18 and older. If you are under 18, you may not register or use the Platform unless we explicitly allow it and verified parental consent is obtained.

4. Payments and donations : Payments processed through the Platform are handled by third-party payment processors. We use hosted checkout to minimize the handling of card data. Payment terms, refunds, and disputes are subject to the Payment Terms posted at checkout.

5. Content, intellectual property, and licenses Users retain ownership of content they upload, but by posting content you grant StellarEdX a worldwide, non-exclusive, royalty-free license to display and distribute that content as necessary to operate the Platform. If you submit materials as part of mentorship engagements, include any assignment or transfer terms in the Mentor Agreement.

6. Disclaimer of warranties & limitation of liability The Platform and all content are provided “as is” and “as available” without warranties of any kind. To the maximum extent permitted by law, StellarEdX is not liable for indirect, incidental, special, punitive, or consequential damages. Our aggregate liability is limite
d to the lesser of $500 or amounts you paid us in the prior 12 months.

7. Termination We may suspend or terminate accounts for violations of these Terms or for legal reasons. Termination does not affect obligations accrued prior to termination.

8. Governing law & disputes : These Terms are governed by the laws of the State of California, U.S.A., without regard to conflict of law provisions. Any disputes will be resolved in the state or federal courts located in San Diego County, California, unless otherwise agreed. (Consider arbitration clause as policy decision.)

9. Changes to the Terms We may modify these Terms. For material changes, we will provide notice and obtain consent where required. Continued use after changes constitutes acceptance.
